The parties mutually agree to this amendment as follows. All actions noted below are by thjs reference made a part
of the AQreement and incorporated herein:

Mcr Communications Services, fnc., formerly known as MCr WORLDCOM Communications, fnc., hereby assigns its duties and
obligations under this Agreement to Global Tel"Link Corporation, pursuant to an Asset Purchase Agreement entered into by the two
companies on November 7, 2006. The assignment of the Agreement to Global Tel"Link Corporation will become effective as of
June 29, 2007.
The Department of Technology Services hereby acknowledges and consents to this assignment.
Attachment 1 - Notification of Assignment by MCI Communications Services, tnc. to Global Tel"Link Corp. - 2 pages
This amendment is effective upon approval by the Department of General Services.

All other terms and conditions shall remain the same.

NOTIFICATION OF ASSIGNMENT BY MCI COMMUNICATIONS SERVICES, INC. TO GLOBAL TEL"LINK
CORP,

Dear Ms. Tom-Albertson:
The purpose of this letter is to inform you that MCI Communications Services, Inc. (the "Company"), has
entered into an Asset Purchase Agreement, dated November 7, 2006 (the UAPA"), whereby Global
Tel·Link Corp. (the "Buyer") will acquire certain assets and operations of the Company related to the
business of providing managed telecommunications services to inmates in state and county departments
of corrections and in owning and operating prison payphones and public payphones located on the
premises of such prisons (the ~Business").
The sale of the Business by the Company to Buyer is not intended to alter the rights and obligations of
the parties under that certain Agreement. IWITS RFP-DGS-3037, as such agreement may have been
amended from time to time (the "Agreement"), by and between CA Dept of General Services and the
Company. In connection with the Agreement, the Company requests that you acknowledge, and consent
to, the assignment of the Agreement to Buyer. Pursuant to the APA, the Buyer has agreed to be bound
by all of the duties and obligations of the Company under the Agreement arising after the Closing Date
(as such term is defined in the APA). The assignment of the Agreement to Buyer will become effective
upon the Closing Date.
Please acknowledge consent to the assignment of the Agreement from the Company to Buyer by signing
this letter and returning a copy via facsimile to Stuart Kuntz, at 908-696-2063, with the original 10 follow by
regular mail to the following address:
